1. Sale Agreement Drafting and Execution

The land transfer process begins with a Sale Agreement, a legally binding document signed by both the buyer and the seller. It should include clear provisions on:

  • Purchase price and payment structure
  • Timelines and completion date
  • Penalties for default
  • Conditions precedent (e.g., consent from Land Control Board)

Legal Basis- Law of Contract Act (Cap 23, Laws of Kenya) Section 3(3) mandates that all contracts for the disposition of land must be in writing, signed by all parties, and attested by a witness.

2. Conducting a Land Search

Before committing to the purchase, a buyer must verify ownership and check for encumbrances by performing an official land search in Kenya. This should be through a registered Surveyor who can also conduct a Due diligence (Site visits to verify occupancy and boundary issues)

Legal Basis- Land Registration Act, 2012 (No. 3 of 2012), Section 27 allows any interested person to conduct a search on a parcel of land through the registrar.

3. Survey and Mutation Preparation

It is important to engage a surveyor in the process of Land Transfer as they are the only professionals who can conduct boundary verification, realignments and prepare mutations. In cases involving subdivision, boundary realignment, or parcel number changes, a mutation form must be prepared by a licensed surveyor and approved by the Director of Surveys.

This step is critical when:

  • The land is being subdivided into smaller plots
  • There are inconsistencies between map records and ground realities
  • The transaction requires updated boundary marking or beacons

Legal Basis- Survey Act (Cap 299) – Governs the subdivision, amalgamation, and boundary confirmation through licensed surveyors.

4. Spousal Consent Requirement

If the property is matrimonial property, spousal consent to transfer land ownership is required under:

Legal Basis- Matrimonial Property Act, 2013 – Section 12 No spouse may alienate a matrimonial home without the other’s free and informed consent, even if registered in one name.

5. Land Control Board Consent (for Agricultural Land in Kenya)

If the land in question is classified as agricultural and lies outside a municipality, the transaction requires consent from the Land Control Board (LCB).

Legal Basis- Land Control Act (Cap 302), Section 6 makes it mandatory to obtain LCB consent for sales, leases, charges, or subdivisions of agricultural land.

Note: Failure to obtain LCB consent within six months of the agreement renders the transaction void.

6. Land Valuation and Payment of Stamp Duty

Before the transfer can proceed, the land must be:

  • Valued by a government valuer to determine stamp duty, a tax charged on land transfers.; and
  • Surveyed if subdivision, amalgamation, or mutation preparation is required.

Legal Basis- Stamp Duty Act (Cap 480) – Governs payment of stamp duty to Kenya Revenue Authority (KRA) and calculated as:

  • 4% of the property value for urban property
  • 2% of the property value for rural property

Note: Capital Gains Tax (CGT) in Land Transfers may apply – (CGT) is a tax on the profit made from the sale of property, payable by the seller.

7. Land Transfer Document Preparation

After payment of stamp duty, the advocate drafts and signs the Transfer Instrument (Form LRA 1), which both parties must execute. Attaching all supporting documents (PINs, ID copies, passport photos, marriage certificates if applicable)

Legal Basis- Land Registration Act, 2012 – Section 37 Prescribes how registrable instruments, including transfers, are to be prepared and lodged.

8. Registration of the Land Transfer and Issuance of Title Deed

Upon successful presentation of all documents at the Lands Registry by the Surveyor for document review and tax clearance, the registrar updates the land records and issues a new title deed to the buyer.(with their Legal Names and Address)

Legal Basis- Land Registration Act, 2012 – Section 38 the registrar is mandated to register new ownership and issue a title as conclusive evidence of proprietorship.
